HoyaPay Terms of Service
Effective Date: December 1, 2025
These Terms of Service (hereinafter referred to as “this Agreement”) are entered into by and between HoyaPay (hereinafter referred to as “the Platform” or “HoyaPay”) and the user (hereinafter referred to as “you”) regarding your use of HoyaPay’s e-wallet services, virtual and physical card services, the H Credits / USDⒽ rewards system, and other related features. By using the Platform, you acknowledge that you have read, understood, and agreed to all contents of this Agreement.
1.、Definitions
Wallet: The digital wallet tool provided by the Platform for users to store, manage, and transfer funds and digital assets.
Account: A personal account registered by the user on the Platform for accessing wallet services.
Funds: Virtual currencies, digital assets, or any other form of electronic assets stored in the wallet.
Card: Refers to virtual cards or physical cards applied for and used by the user through HoyaPay.
Points (H Credits / USDⒽ): Promotional rewards issued by the Platform, which do not possess monetary value and do not constitute financial products.
2、Eligibility and Use of HoyaPay Services
You must be at least 18 years old and have full legal capacity to use the Platform.
You may use the wallet for top-ups, payments, card transactions, and internal transfers.
The Platform may adjust, add, suspend, or terminate service features based on operational needs.
If the laws of your jurisdiction prohibit the use of the Platform, you must cease using the service immediately.
3、User Qualifications and Account Management
Users must provide accurate, truthful, and complete information during registration.
Users are responsible for safeguarding their account credentials, including passwords, verification codes, and card numbers.
Users must immediately notify the Platform upon discovering unauthorized account use.
The Platform may require identity verification (KYC) for legal compliance or risk management purposes.
Failure to complete KYC may result in limited access to features or transaction restrictions.
4、Fund Management and Transaction Rules
Users may top up digital assets to their wallet via supported methods on the Platform.
All blockchain transactions are irreversible; users must ensure the accuracy of transaction information.
The Platform may charge fees for transfers, withdrawals, or other related transactions, as publicly announced.
Users must ensure that all funds originate from lawful sources and must not engage in money laundering, fraud, terrorist financing, or any illegal activities.
5、H Credits / USDⒽ Rewards System
5.1 Nature of Points
Points are promotional rewards and do not possess any cash or monetary value.
Points are not exchangeable for fiat currency, cryptocurrency, stored value, or any redeemable assets.
Points do not constitute a liability or payable obligation from the Platform to the user.
5.2 Usage Restrictions
Points may only be used in ways announced by the Platform.
Points may not be sold, transferred, gifted, pledged, or traded outside the Platform.
5.3 Platform’s Rights Over Points
The Platform may adjust, cancel, or revoke points due to abnormal activity, system errors, or violations.
The Platform reserves the right to change the point system, expiration dates, or usage rules at any time.
5.4 Limitation of Liability
The Platform is not responsible for compensation related to point discrepancies caused by system failures, third-party issues, or force majeure events.
6、User-Generated Content (UGC) Policy
Users may not upload, publish, or transmit any illegal, infringing, violent, pornographic, offensive, fraudulent, or otherwise inappropriate content.
The Platform may remove violating content, restrict user access, or suspend accounts.
Users may report inappropriate content through customer support, and the Platform will handle reports within a reasonable time.
7、Data Collection, Use, and Sharing
The Platform may collect account information, usage data, transaction records, device information, and identity verification data.
User information may be used for service delivery, legal compliance, risk control, fraud prevention, and service improvement.
The Platform does not sell personal data and only shares data with necessary third parties (e.g., KYC providers, payment partners).

8、Disclaimer for Third-Party Services and APIs
The Platform may integrate third-party services such as payment APIs, KYC verification providers, or blockchain service providers.
The Platform is not responsible for the availability, security, or accuracy of third-party services, nor any resulting losses.
9、Risk Disclosure
Digital assets involve market volatility and technological risks; users assume full responsibility for any related losses.
Blockchain transactions are irreversible; the Platform cannot cancel or modify transactions.
Users must ensure the security of their devices; losses resulting from leaked private keys or passwords are the user's responsibility.
The Platform is not liable for losses caused by network issues, third-party service failures, or force majeure events.
10、User Rights and Obligations
Users may view and manage their wallet and card activity records.
Users must maintain the security of their accounts and devices.
Users must not use the Platform for any illegal or improper activities.
11、Account Termination and Deletion
Users may request account deletion following Platform procedures.
After deletion, some data may be retained for legally required durations.
If a user violates policies, the Platform may restrict functions, suspend, or terminate the account.
Account termination does not obligate the Platform to compensate for any indirect or consequential damages.
12、Limitation of Liability
The Platform is only liable for direct losses attributable to its actions, and compensation shall not exceed the fees paid by the user within a specified period.
The Platform is not liable for indirect, incidental, punitive, or consequential damages.
13、Governing Law and Dispute Resolution
This Agreement is governed by the laws of the jurisdiction where the Platform operates.
In the event of a dispute, both parties shall first attempt to resolve it through negotiation. If negotiations fail, either party may bring the dispute to a competent court.
14、Relationship with Apple / Google
The Platform’s digital assets, points, rewards, and promotional activities are not affiliated with Apple Inc. or Google LLC.
Apple and Google do not participate in any transactions, redemptions, issuance of rewards, or legal responsibilities.
15、Other Provisions
The Platform may amend this Agreement at any time, and such amendments will take effect upon public announcement.
If any provision of this Agreement is deemed invalid, the remaining provisions shall remain fully effective.
